USAPC NETWORKS requires that all visitors and participants be over the age of 18 and agree to all of the terms and conditions below, as well as supplements, and conditions contained in the user manual or directions and those found in “Conditions of Use”, and any OFFICIAL USAPC SUPPLEMENTAL CONDITIONS ADDENDUM.
The word “you”, as used though out this document, shall always mean “any person, persons, entity, entities, groups, organizations or others using this system including without limit, customers, clients, patients, visitors, providers of services, organizations, etc…”.
USAPC NETWORKS Inc. SHPC, SHISAN, SHIEPN, SHIRPN, SIGNATURE HILL, ANGELO PAPA, ANGELO PAPA ESQ, CHRISTOPHER A. PAPA, VIRTUAL SAILS, VON SCARBERRY, (HEREINAFTER USAPC et al) may not monitor any audio, video, or written discussions and is not responsible for, nor has any obligation to protect confidentiality, and or remove content that you may find objectionable or offensive. Discussions or other postings may not be appropriate for all users. You hereby agree that you expressly, knowingly, and intelligently, understand that there is no expectation of privacy, or privilege, and that you knowingly, and intelligently, waive all rights of confidentiality, or any other privilege, including but not limited to; attorney-client, doctor-patient, priest- penitent, counselor- patient, and or all medical privileges.
Before entering, you must thoroughly read and agree to the following: You are an adult
(18 years or older) and have read and understand this content agreement. The terms of this agreement inure to the benefit of USAPC NETWORKS Inc. its successors, assigns, and licensees. You understand that many of the discussions involve interactions between you and or your professionals, including but not limited to, attorneys, doctors, counselors, medical personnel, judicial personnel which might otherwise be confidential.
You are reminded that any type of communication, which you desire to keep confidential, should NOT be made in this format, and instead confined to face-to-face, closed office, direct communications.
You understand that all postings reflect the views of the respective broadcaster, author person or entity doing the posting and not the views of USAPC et al. USAPC et al has no obligation to delete discussions or broadcasts, you find objectionable or confidential for any reason.
In NO event shall USAPC et al be liable to you for any damages of any kind, including but not limited to compensatory damages, lost profits, lost data, or any form of special, incidental, indirect, consequential, or punitive damages of any kind, whether based on breach of contract, or breach of warrantee, tort (including negligence) product liability or otherwise, even if USAPC et al is informed in advance of the possibility of such damages
You also agree and understand that all data contained within this system including without limit; technical content, members, customers, visitors, providers, owners, names, addresses, contact information, programs, marketing material, programmer information, research, systems, etc. are confidential information, trade secret information, patented, and copyrighted. You further agree to strictly refrain from, and take all reasonable precautions to notify others, and see to it that they refrain from, any unauthorized use for any reason whatsoever.
You agree that any use is unauthorized unless and only if each and every such use is preceded in time, by your having in your possession a signed (by USAPC legal representative) properly dated, specifically described writing, for each and every such use.
You agree, that although USAPC et al is under no obligation to delete or edit content, it retains the absolute right at its sole discretion to unilaterally delete, alter, modify or eliminate any content at any time for any reason.
You agree, to refrain from any attempt to contact ( outside the system) any persons, or entities, including without limit USAPC et al, customers, members, visitors, etc.
You agree, to refrain from any type of competition for a period of three years after your termination with association with USAPC, and within a radius of 300 miles from the nearest USAPC et al provider, customer, and visitor.
You agree, to always remain current on any licensing agreements, and financial arrangements contained in any supplemental conditions.
You agree that unless impossible, you will refrain from referencing directly or indirectly, any customer, client, patient, consulted, interviewed person or entities, within this system at all times, unless and only if done so by a confidential corresponding customer, client, patient, consulted, interviewed the person or entity, NUMBER.
You agree, that any breach of any of these terms, exposes USAPC to a substantial, irreparable loss, without adequate remedy at law, entitling USAPC to exparte, injunctive relief, without bond.
You agree that unless otherwise arranged in a signed or otherwise acknowledged written “OFFICIAL USAPC SUPPLEMENTAL CONDITIONS ADDENDUM (price schedule) which you are in strict conformity with, you will pay for it each and every use of the system without exception.
You agree that all materials found in any of the libraries are trade secret, intellectual property, and copyrighted and entitled to all related protections. You also agree that unless other arrangements exist which you are in strict compliance with, as reflected in a signed or otherwise acknowledged written OFFICAL USAPC SUPPLEMENTAL CONDITIONS ADDENDUM (price list) you agree that these documents are also the work product of ANGELO PAPA ATTORNEY AT LAW and as such, you agree to pay for the creation and use of each and every document, and each and every use.
You agree that any conflict in this contract, at the sole discretion of USAPC et al, may be brought in arbitration, or Court of Common Pleas, or Federal Court.
You agree that, in any conflict any of the language in this contract is (at the sole discretion and option of USAPC) stipulated in advance, to be admissible, and a conclusive admission as to the truth of what it asserts.
This agreement, is governed in conformity with, and within the exclusive jurisdiction and forum of the laws of the Commonwealth of Pennsylvania, and Lawrence County exclusively, without regard to your actual state or County of residence, location of the injury, evidence proof or witnesses,
Any waiver, amendment, or other modification of any term of this agreement will be effective only if, in writing, and signed by USAPC NETWORKS Inc. legal representative. If for any reason any court of agreed-upon forum, jurisdiction, as a for said and competence finds any portion or provision of this agreement to be unenforceable, the remainder of this agreement shall continue in full force and effect. This agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes and replaces all prior paragraphs of any prior such agreement or understandings ( written, oral, on this subject matter between and among the parties.
Any party, who is also a party to another contract or contracts with USAPC et al hereby agrees (at the sole option of SIGNATURE HILL AND/OR ANGELO PAPA) to incorporate by reference, all prior paragraphs of any such contract or contracts, including all remedies and forum and jurisdictional issues and also be bound by such terms. This agreement shall be read, consistently with any other agreements.
